THIS AGREEMENT is made and entered into as of this ____ day of ___, 20, by and between [Artist’s Legal Name] (hereinafter referred to as “Artist”) and [Producer’s Legal Name] (hereinafter referred to as “Producer”).

1. SERVICES: Producer agrees to produce master recordings (the “Masters”) for Artist. The specifics of the services to be provided and the Masters to be produced will be as outlined in Schedule A attached hereto.
2. COMPENSATION: As full compensation for the services rendered by the Producer under this Agreement, the Artist agrees to pay the Producer a fee as outlined in Schedule B attached hereto.
3. RIGHTS AND OWNERSHIP: Subject to Producer’s right to receive royalties as described in Schedule B, all rights and interests in the Masters, including copyright and the right to secure copyright, shall belong exclusively to Artist.
4. CREDIT: Artist agrees to provide Producer with appropriate credit on all commercial or promotional uses of the Masters.
5. CONFIDENTIALITY: Both parties agree to keep all the details about the Masters, including the production process, confidential unless both parties agree in writing to the disclosure of certain information.
6. REPRESENTATIONS AND WARRANTIES: Each party represents and warrants to the other that it has the right to enter into this Agreement and perform its obligations hereunder.
7. INDEMNIFICATION: Each party agrees to indemnify and hold harmless the other party from any damages, liabilities, costs, losses or expenses arising out of any claim, demand, or action by a third party due to a breach of the party’s duties, obligations, representations or warranties under this Agreement.
8. GOVERNING LAW: This Agreement shall be governed by, and construed in accordance with, the laws of the state of [State], without regard to its conflict of laws principles.
9. ENTIRE AGREEMENT: This Agreement, along with its exhibits and schedules, constitutes the entire agreement between Artist and Producer with respect to the subject matter hereof and supersedes all prior negotiations, understandings, and agreements between the parties.
