INTRODUCTION
Creative Counsel (“We”, “Creative Counsel”) is a joint venture between Legafy Law AB and Rexius Records AB, both limited liability companies organized under the laws of Sweden.
Through a combination of deep legal and creative management experience we aim to provide the creative industries with a new set of highly attuned services and tools that ensures balance and profitability in the relationships between creative industry stakeholders.
SCOPE OF SERVICES
Creative Counsel provides expert legal services through creativecounsel.io (the “Website”),, including but not limited to contract drafting and advisory services for the creative industry (the “Services”). The services are offered in a package which can be purchased via the Website (the “Service Package”).
A Service Package contains a set amount of hours which can be freely allocated to a specific set of underlying services.
The Service Packages are offered to both private individuals and business alike (collectively, the “Customer”).
PRICING
Will be specified at check-out on the Website when a purchase is made, such pricing being based on the chosen Service Package.
ADDITIONAL SERVICES:
Based on the request of the Customer, additional services can be added on top of the Service Package (“Additional Services”).
Additional Services are charged at an hourly rate of 2000 SEK (excl. VAT), payment subject to separate invoicing.
VAT AND TAXATION
For Private Individuals (non-taxable persons): VAT is included and accounted for in Sweden.
For Business Organizations (taxable persons): VAT is excluded in the Price, the application of such taxation being based on the territory of the Customer.
BILLING AND PAYMENT
Payment for the package of services is made via the check-out on the website, processed via Stripe. Invoices for additional services will be issued upon completion of the service or at the end of each month, whichever comes first.
Payment for additional services is due within 30 days of receipt of the invoice. Failure to make timely payments may result in suspension of services.
SERVICE DELIVERY
Our ambition is to deliver a finalized draft ready for deployment (“Finalized Draft”). This is contingent on having access to all relevant information related to the case. If additional information is provided during the drafting process, the need for further services may arise.
In such cases, Creative Counsel will seek the Customer’s approval for additional services, priced at the rate specified in the original Service Package purchase order.
CONFIDENTIALITY
Creative Counsel is committed to maintaining the confidentiality of Customer information. We will not disclose any confidential information without the Customer’s express consent, except as required by law or professional regulations.
TERMINATION
The Customer may terminate our services at any time, subject to the payment of outstanding fees and expenses. Creative Counsel reserves the right to terminate services with reasonable notice, in accordance with professional regulations.
LIMITATION OF LIABILITY
Creative Counsel’s liability for any claim arising out of or in connection with our services shall be limited to the amount of fees paid by the Customer for the services that gave rise to the claim. Creative Counsel shall not be liable for any errors or omissions in the services provided, provided such errors or omissions could have been discovered by the Customer through diligent review.
INDEMNIFICATION
The Customer agrees to indemnify, defend, and hold harmless Creative Counsel and its affiliates, directors, officers, employees, agents, and representatives from any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorney fees) arising from any errors or omissions that could have been identified through their review of the services provided.
GOVERNING LAW
These terms and services provided shall be governed by and construed in accordance with the laws of Sweden. Any disputes arising out of or in connection with our services shall be subject to the exclusive jurisdiction of the Swedish courts.
AMENDMENTS
Creative Counsel reserves the right to amend these terms at any time. Customers will be notified of any changes, and continued use of our services constitutes acceptance of the amended terms.
